Terms of service

These Terms of Service (the "Agreement") govern your use of the software applications and services provided by Cardflow, owned and operated by Tymoteusz Zapała, registered in Poland with company number 7372221379 ("Cardflow", "we", "us", or "our"), also known as Tymek Zapała, including but not limited to Colorful Budget, List Time Tracker, Unify Labels, and Time Slot Calendar (collectively, the "Services"). The terms "you" or "your" refer to the user of the Services.

Please read this Agreement carefully. By enabling, accessing, or using any of the Services on a Trello board, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to all the terms of this Agreement, you may not use the Services.

1. Use of the service

  1. Eligibility. You must be at least 16 years of age to use the Services. By agreeing to these terms, you represent and warrant that you are at least 16 years old.
  2. Trello account. The Services are extensions for the Trello platform ("Trello"). Access to the Services requires an active Trello account. You are solely responsible for maintaining the security of your Trello account and credentials. Cardflow is not liable for any loss or damage arising from your failure to secure your Trello account.
  3. License. Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-sublicensable, and non-transferable license to use the Services for your internal business or personal purposes.
  4. Acceptable use. You agree not to use the Services to:
    1. Decompile, reverse engineer, or otherwise attempt to obtain the source code of the Services;
    2. Resell, lease, sublicense, or distribute the Services to any third party;
    3. Interfere with or disrupt the integrity or performance of the Services or the data contained therein;
    4. Use the Services for any illegal, fraudulent, or unauthorized purpose.

If you purchase a subscription for a Service on a Trello board, you are responsible for ensuring all members of that board comply with this Agreement.

2.User data and privacy

  1. Data ownership. You retain all right, title, and interest in and to the data and content you create and manage within Trello ("User Data").
  2. Our rights to process data. To provide the Services, you grant Cardflow a worldwide, royalty-free license to access, process, and display your User Data solely to the extent necessary to provide, maintain, and improve the Services. We will not sell, share, or use your User Data for any purpose other than providing the Services. We implement and maintain reasonable administrative and technical safeguards designed to protect your data.
  3. Privacy policy. Our collection and use of personal information in connection with the Services is described in our Privacy Policy, which is incorporated by reference into this Agreement.

3. Subscriptions and payment

  1. Paid services. Access to certain features of the Services requires an active, paid subscription. Subscriptions may be offered with a free trial period.
  2. Billing and renewal. Subscriptions are billed in advance on a recurring basis (e.g., monthly or annually) and will automatically renew at the end of each subscription period unless you cancel your subscription before the renewal date. You are responsible for providing and maintaining accurate billing information.
  3. Fees. All fees are stated in U.S. Dollars and are non-cancellable and non-refundable. We reserve the right to change our prices upon 30 days' notice to you. Price changes will take effect at the start of the next subscription period following the date of the change.
  4. Suspension. We reserve the right to suspend or terminate your access to paid features if payment is not received on time.

4. Third-party platform dependency

  1. Dependency on Trello. The Services are dependent on the availability and proper functioning of the Trello platform and its APIs. We have no control over the Trello platform.
  2. Disclaimer. Cardflow is not responsible and shall have no liability for any malfunction, downtime, data loss, or other issue caused by Trello or any changes made to the Trello platform. Your use of Trello is governed by Trello's own terms of service and privacy policy.

5. Termination

  1. Termination by you. You may terminate this Agreement at any time by disabling all Cardflow Services on your Trello boards and canceling any active subscriptions.
  2. Termination by us. We may terminate or suspend your access to the Services immediately, without prior notice or liability, if you breach this Agreement.
  3. Effect of termination. Upon termination, your right to use the Services will immediately cease. No refunds will be provided for any unused portion of your subscription term. All provisions of this Agreement which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, and limitations of liability.

6. Disclaimers and limitation of liability

  1. Disclaimer of warranties. The services are provided "as is" and "as available" without any warranties of any kind, express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the services will be uninterrupted, secure, or error-free.
  2. Limitation of liability. To the maximum extent permitted by applicable law, in no event shall Cardflow be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the services. Cardflow's total aggregate liability to you for all claims arising out of or relating to this Agreement shall not exceed the total amount of fees paid by you to Cardflow during the twelve (12) month period prior to the event giving rise to the claim.

7. General provisions

  1. Changes to terms. We reserve the right to modify this Agreement at any time. We will post the most current version on our website. By continuing to use the Services after changes become effective, you agree to be bound by the revised terms.
  2. Governing law. This Agreement shall be governed by and construed in accordance with the laws of the Republic of Poland, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising under this Agreement will be brought exclusively in the courts located in Kraków, Poland.
